cr, and it's just the same shit with a slightly different smell every time. On the 250th VC financing or 40th M&A deal, how much can you really care? Same recycled issues list, same recycled provisions, same side letter, etc.

There's that sweet spot when you're a mid-level associate and know enough to be useful and aren't jaded enough to completely mail it in yet.

This spring we were working for a VC client on 3 early-stage deals with the same counsel on the other side representing the 3 companies. It was just lol -- same base docs, same comments, slightly different vesting terms and diligence/clean-up items...just mind-numbing.

You develop real expertise about how certain deals should be structured and provisions negotiated, what's important and what's not, etc. You feel firmly in control from the beginning and have a good sense of the scope of the work. Litigators never know shit about anything substantive and are constantly playing catch up in an open world universe

Fair, but the repetition is just brutal. I used to say that I liked deal work because nothing hangs around for more than 3 months or so, which is mostly true, but I still cringe when I get the Term Sheet forwarded to me with "let's discuss at 9 a.m. tmrw" because it's going to be the same cycle, same rushes and late nights, same excited clients with their heads cut off, etc.

I'm happy with my pay -- not willing to trade it for a little less work (yet). A lot of the transactional in-house people still work bad and/or international hours, and they have to answer to all the business people, divisional people, etc.

If a VC client wanted to bring me in-house, I'd probably jump on it, though.

It really depends on how senior the position is. If it's a standard AGC position, it's a lot less time spent working. Almost everyone I work with is gone by 5-5:30 p.m. every single day, weekends extremely rare. Maybe a handful of times a year this changes for like a week. And not having to track hours means that even when you are there it is far better because you can have totally unproductive days and you aren't ever held accountable for it unless you are legitimately doing no work when there is pressing work to be done (and even then it doesn't really seem like anyone is held accountable). Business people who have no real power over you, who themselves only see their job as a job, who don't view you as a profit center, but only a hurdle to get by, and who need your help to get their deals done are a lot easier to answer to than service partners with insane expectations.
