MegaCorp Mo here at an entity with like hundreds of subsidiaries. Our internal M&A attorney mentioned that he prefers merging shit into Delaware entities because of their favorable corporate laws. I'm sure he was alluding to something beyond taxes.

When I did fund work, we'd use Delaware because it has a well-researched/interpreted case law on corporate law. So, you kinda knew what you were getting into and investors were just used to seeing it.

Surprised no one has mentioned this, but in addition to having defined case law for major issues, they basically have no fucking dumb laws. Like you can read the Delaware corporate code in 20 minutes and its basically like "You can have anywhere between 1 share and 1 board members."

Contrast that with California where if you want someone to give an enforceability opinion you have to shell out $3,000 to opine that your insurance contract isn't going to be invalidated because a transgender quorum of shareholders didn't approve it by separate vote.

So a founder incorporates in state X because the corporate laws there are favorable to corporations and their owners, never mind the corporation is located in state Y. Isn't that like forum shopping or something? Seems like there should be a proper-venue requirement.
