I usually am a pretty good closer on the exam, and I was prepared and knew everything as well as could be. A couple questions threw me for a loop and I started second guessing my answers which = doom.
anyhow I found myself running out of time on a test that was not that long. I dont think I failed, but I didn't do as well as I should have.
Fuck corporations...

What did you get tested on?
Was this a 3.5 hour in class?

poison pill, derivative suits, and preferred share conversion.
I choked and spent an hour debating what to apply.
stupid fucking ambiguous hypo.
it was a 4 hour test but could have taken 2 hours probably.

what was ambiguous about the tender offer?
did it not comply with securities regulation shit or was it just tricky?

Sounds sexy.
What was the answer? What do you mean you fucked yourself over by second guessing which test to use?

I am not sure - I think IF they sold control then revlon kicks in (no discrimination unless it will help your shareholders bottom line). however it was up in the air if they were going to sell controll (ala paramount v. time) so it was confusing which standard to apply to what defense.
also there was a complex math problem with preferred stock conversion that took me twice as long as I should have, because I second guessed what number to use 10 times. I think I got that one right though.

the math was easy, dragging the right equation out of the fucking dense contract was what annoyed me.
oh well.

Hey, I guess we're in the same class.
I know it's unhealthy to dissect these things after the fact, but wasn't sale of control a forgone conclusion if they entered into that agreement, which was what it was asking about?

you are correct that I do not discuss things.
yes its forgone after if the contract is accepted - took me 20 minutes to see that staring me in the face.

I usually do better on exams than people who are comparably prepared/intelligent.
In other words I usually test well under time pressure, but not today.

I would love multiple choice for corporations.
MC can be tough, but its tough for everyone.
Essays leave more room for annoying brain farts.

i've never taken a mulitiple choice exam in grad school - i imagine it would be bad and i would end up guessing...
he took his evidence exam today and it was all hearsay multiple choice, except there was like 10 choices for each question...he's not pleased
