sec reg

negotiation

K drafting

M&A

E&T (not corp but supposedly good for bar)

I don't want to take all these classes because it would be too much work. Negotiation and K drafting are supposed to be pretty good at my school.

i would say take the black letter classes, but that's just me. whatever K you draft in your K drafting class and whatever negotiation you do in your negotiations class are not going to come up in your practice. i've personally never been able to buy into those made up practice-oriented classes.

Thanks. I think you're right in a way. Some people hype those classes a lot but in the end, they are a lot of work and try to teach something that might be mostly common sense and/or suited for learning on the job.

It's something that will be useful on a frequent basis.

The rest of the classes are pretty much optional. M&A seems like it would be pertinent, but it overlaps a good deal with corporations and corporate tax and is easy enough to learn on your own.

Yes. It comes up frequently, most of your supervisors will expect you to have basic knowledge of securities laws, and it's a subject that's tricky to learn on your own.

Securities Reg is the most important of those by far. I think that Bankruptcy and Tax are more worthwhile than the rest of what you have listed.

Add Secured Transactions and you've got the classes worth a damn

I'd put that a notch behind Bankruptcy, since Bankrutpcy will cover at least the basic concept of priority and has the added benefit of being useful in every practice area i can think of, except perhaps criminal law. But lord knows Secured Transactions is more likely to be applicable to practice than a basic drafting class or trusts and estates.

Then I'd say your priorities are:

1. Securities Regulation

2. M&A

3. Drafting or Negotiation if you get a good time slot and a well-liked professor

4. Whatever else you feel like taking

There are really well-liked negotiation and drafting profs. But those classes are a lot of work so not sure I want to take them along with sec reg and m&a.

I really should have taken Tax, but I was always too lazy. Looks like you're doing well so far. And I did the same thing you did--I took complex lit and bankruptcy lit because I liked the professor, and they actually ended up being really useful during my 2L summer.
