I usually am a pretty good closer on the exam, and I was prepared and knew everything as well as could be. A couple questions threw me for a loop and I started second guessing my answers which = doom.

anyhow I found myself running out of time on a test that was not that long. I dont think I failed, but I didn't do as well as I should have.

Fuck corporations...

poison pill, derivative suits, and preferred share conversion.

I choked and spent an hour debating what to apply.

stupid fucking ambiguous hypo.

it was a 4 hour test but could have taken 2 hours probably.

I am not sure - I think IF they sold control then revlon kicks in (no discrimination unless it will help your shareholders bottom line). however it was up in the air if they were going to sell controll (ala paramount v. time) so it was confusing which standard to apply to what defense.

also there was a complex math problem with preferred stock conversion that took me twice as long as I should have, because I second guessed what number to use 10 times. I think I got that one right though.

Hey, I guess we're in the same class.

I know it's unhealthy to dissect these things after the fact, but wasn't sale of control a forgone conclusion if they entered into that agreement, which was what it was asking about?

because there is a clear difference between those three things, they just sound the same. And if the multiple choice gives you those answers to a fact pattern, it refreshes your mind and you just have to know enough about each to see what fits.

Let's hope standards are lower. There was definitely less class attendance in property than in the 1L classes so maybe that will translate into a lot of TTT exams being written.
