Google's market cap dropped by $2.52B on Monday after the Vator article came out claiming a $2.5B purchase of Groupon. This happened on a day when the overall market rebounded and where the tech market also rebounded. Investors are likely realizing the following:

* Groupon has no top notch repeat business customers

* Groupon has few exclusive deals

* Groupon is benefiting from a reversible economic trend

* Groupon's inside investors are selling

* Groupon's technical setup melts under high

The average Groupon deal offers 50 to 90 percent off retail goods and services, from restaurant certificates to skydiving lessons. It has grown beyond local merchants to encompass retailers like Gap, which offered a nationwide deal this summer. On the day of the Gap promotion, Groupon sold 440,000 units and generated $11 million in revenue.

Groupon’s success has helped turn the company into a cash-generating machine, signing up more than 12 million registered users and reaping more than $350 million in estimated annual revenue.

a typical CEO/founder only has around 10-15% of their company max due to dilution by the time an exit opp is executed. Other equity will be owned by other co-founders, employees, and investors.

Groupon has received 171 million in VC funding, so dilution is definitely expected.

groupon is all about local deals. you need a huge cash base to scale as every local deal needs to be sourced by humans.

they've also been advertising like crazy in the last few months. their ads plaster every corner of the internet.

Isn't the problem with Groupon the fact that it's basically a multi-level marketing scam? That the only way you get the deal is by getting enough of your friends to join in the deal? And that one day, when people stop responding to it or get sick of it or move on, it will collapse?

the deal doesn't go "live" (and you aren't charged) until a certain number of people opt in for the purchase. I don't think the bar for minimum number of sales is particularly high though. I've never heard of someone buying one and then the deal not hitting that mark.

I know that you're not charged until it goes "live." But it heavily rides on recommending others--at least, as far as I've seen. Sure, 100 people can independently sign up for it. But I've seen an incredible amount of spam from Groupon people desperately trying to get others (Facebook, Twitter, whatever) to join in on a particular deal.

Groupon has such a massive user base they haven't had a problem with deals not going live for a long, long time in most major cities.

In fact, there is such high demand for Groupon-type deals that the major Groupon sites have split their cities into several areas now. Manhattan has multiple deals active per day depending on area, for example.

People advertise Groupon deals so they can collect referral bucks and because they think the deal itself is a great offer

The problem with groupon is that its model is premised on the desperation of small businesses and retailers generally that are demandpwn3d worse than ever before in history.

http://modeledbehavior.files.wordpress.com/2010/09/image11.png

It's unclear whether retailers will have the appetite to trade huge discounts for huge marketing over and over (probably not). It's also unclear whether there will be the same level of coupon junkie-ism to leverage (less clear, but how many skydiving lessons does a person actually need?).

The REAL real problem with this is that it's a gimmicky marketing site that will wear off on people after a while, like 99% of gimmicky internet bullshit that people get excited about.

FWIW I went through today's deals and nothing was that exciting to me - the best I could find was $10/$20 at a pizza place I had vaguely considered eating at and $50/$100 at some jeans store I've never heard of.
